King of Prussia’s Universal Health Services is making a major move to expand its behavioral health footprint, the company announced in a press release.
UHS has entered into a definitive agreement to acquire Talkspace for $5.25 per share, valuing the deal at approximately $835 million. The acquisition will be financed through UHS’s existing revolving credit facility.
Talkspace operates a nationwide virtual behavioral healthcare platform connecting patients with roughly 6,000 licensed providers. The service reaches individuals across all 50 states, Washington, D.C., and Puerto Rico.
It’s available to more than 200 million people through insurance plans, employer benefits, and government programs. In 2025 alone, Talkspace generated $229 million in revenue and delivered more than 1.6 million therapy and psychiatry sessions.
UHS leaders say the acquisition will strengthen the company’s strategy to expand outpatient and telehealth behavioral health services. The integration is expected to help create a nationwide system that blends in-person care with virtual treatment options, improving access to mental health services.
The company said the Talkspace platform will complement its existing care network while supporting new technology-driven approaches to treatment.
The deal has been approved by the boards of both companies and is expected to close in the third quarter of 2026, pending regulatory and shareholder approvals.
